Negotiation was advised by Dupont Spiller Fadanelli Advogados
Mega Embalagens, a company headquartered in Salvador do Sul/RS, had its shareholding control sold to the Italian Group Goglio SpA. The company from Rio Grande do Sul had the negotiation assisted by Dupont Spiller Fadanelli Advogados, from Serra Gaúcha. Goglio received legal assistance from Studio Pedersoli in Milan and Veirano Advogados in São Paulo. Goglio is one of the leading players in the global flexible packaging market.
Mega Embalagens, founded in 1993, is focused on meeting the needs of the flexible packaging market, with a large share in the home & personal care, food, agribusiness, industrial and, mainly, the petfood market. It employs approximately 400 people and markets its products in over 15 countries. The company is recognized for the quality of the packaging offered and for the constant technological improvement.
The Goglio SpA group specializes in the design, development and manufacture of complete packaging systems, supplying flexible laminates, valves, machines and services. It employs more than 1,800 people globally and has an annual production value of approximately 500 million euros, present with factories in Italy, the Netherlands, the United States and China, and sales offices located in several European countries, in South America and in Southeast Asia.
According to the companies, the union will generate growth opportunities for employees, customers and suppliers. Goglio's leadership in the coffee sector could be further consolidated thanks to its entry into a fundamental market such as Brazil and South America. At the same time, Mega Embalagens will be able to benefit from its entry into a globally consolidated reality like that of Goglio, further developing its business in Brazil and in the foreign market, guaranteeing access to new technologies and investments mainly in R&D.
In the new structure, immediate investments are defined in equipment for the manufacture of new products to serve the national and international market, based on the integration of technologies exclusive to the Goglio Group. The partners and current directors, Roberto Gräf, Gerson Wallauer and Gracielle Wallauer Gräf, remain in the management of the Mega Embalagens operation.
